Update report – summary of the costs of subscription for series 2 senior non-preferred notes with total nominal value of EUR 500 million issued under the EMTN Programme
With regard to the current report no. 26/2024 dated 18 September 2024 regarding closing of the subscription for senior non-preferred notes series 2 with total nominal value of EUR 500 million issued under EMTN Programme, the Management Board of Bank Millennium S.A. („Bank”) informs as follows:
1. the total costs, including VAT, which are categorized as transaction related expenses, are divided into the following cost categories:
a) costs of preparing and conducting the offer: PLN 8,429,356.70,
b) costs of remuneration of underwriters: not applicable,
c) costs of prospectus preparation including advisory costs: PLN 1,768,536.43,
d) costs of offer promotion: PLN 33,988.65.
The aggregate sum of the above mentioned costs is PLN 10,231,881.78.
Methods of accounting for costs in the accounting books and the method of their recognition in the issuer's financial statements - the costs are recognised once in the profit and loss account at the time they are incurred, with the exception of the costs of rating the notes, the dealers’ commission, the costs of the comfort letter for the prospectus, opinion regarding green bonds framework, coordinator fee and the costs of legal advice, which are settled over time until the maturity date of the notes.
2. The average cost of subscription per one subscribed security: PLN 2,046.38.
The costs were calculated with the Bank observing the duty of care and including VAT.
Legal basis: § 16 of the Regulation of the Minister of Finance of 29 March 2018 on current and periodic information provided by issuers of securities and on conditions under which information required by legal regulations of a non-member state may be recognised as equivalent.
