Changes in the composition of the Management Board of Bank Millennium S.A.

The Management Board of Bank Millennium S.A. (the "Bank") informs that on 23 April 2026, Mr. Antonio Pinto Junior, Member of the Management Board of the Bank, resigned from the position of Member of the Management Board of the Bank, with effect from 24 April 2026, in connection with the intention to continue his professional path in another entity of the Millennium bcp Capital Group.

In addition, the Management Board of the Bank informs that the Supervisory Board of the Bank, which convened today, acting pursuant to § 17(1) of the Bank’s Articles of Association, appointed effective as of 24 April 2026, Mr. Hugo Resende as a Member of the Management Board of the Bank for the current term of office.

Mr. Hugo Resende has 19 years of experience in the banking sector. He began his professional career at Millennium bcp in Portugal, where he held managerial positions covering strategy, marketing, retail network management, customer experience, and the development of a high organizational efficiency. Most recently, he served as Director of Retail Marketing and Retail Network Support at Millennium bcp. Most recently, he worked as the General Manager Head of Marketing and Retail Network Support at Millennium bcp. He was a permanent member of that bank’s key committees. He graduated in Economics and holds a master’s degree in financial and Monetary Economics from the Lisbon School of Economics & Management. He also graduated from the AESE Business School management programme in Lisbon.

In addition, on 24 April 2026, the Bank's Supervisory Board conditionally appointed as of 1 June 2026 Mr. Marcin Dubno to the position of Member of the Management Board of the current term of office, supervising the management of material risk in the Bank's operations. The condition for appointment is that Mr. Marcin Dubno obtains the approval of the Polish Financial Supervision Authority. The Management Board of the Bank had previously informed about the succession plan for the position of Member of the Management Board supervising material risk management in current report No. 33/2025 of 28 November 2025.

Mr. Marcin Dubno has a university degree in economics. He graduated from the Warsaw School of Economics. He has many years of professional experience in the banking sector, with particular focus on risk management. He is also a holder of the international Chartered Financial Analyst (CFA) charterholder.

He has over 25 years of professional experience in banking, including many years during which he served in managerial and executive positions related to credit risk, underwriting, and decision‑making processes. He developed his professional career in large commercial banks, including PKO BP and Santander Bank Polska.

He served as a member and chair of credit committees, and was responsible for overseeing risk assessment processes, credit decision‑making, and the functioning of underwriting structures. He managed extensive teams of risk specialists and participated in development and transformation projects related to credit processes.

Additionally, the Bank informs that Mr. Wojciech Haase remains a Member of the Management Board of the Bank. Information regarding the submission of his resignation—within the framework of succession for the position of the Management Board Member responsible for overseeing the management of material risk in the Bank’s operations—will be disclosed by the Bank in a current report immediately after such resignation is submitted by Mr. Wojciech Haase.

Mr. Hugo Resende and Mr. Marcin Dubno do not conduct any activity competitive to the Bank, they are not partners in a company competitive to the Bank, nor are they members of the body of a capital company competitive to the Bank, and they are not members of the body of any other legal entity competitive to the Bank.

Mr. Hugo Resende and Mr. Marcin Dubno are not listed in the Register of Insolvent Debtors.
